Terms of Service

1. Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer") and Azent ("Azent", "we", "us"). By creating an account or using the Azent service, you agree to these Terms.
If you are using Azent on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Service description
Azent is an AI-powered coding agent that integrates with Azure DevOps to implement features, fix bugs, review pull requests, create pipelines, and edit wiki pages. The service is offered as:
- SaaS: a fully managed cloud service hosted on Microsoft Azure.
- Self-Hosted: a licensed deployment in your own Azure subscription.
3. Account and access
You are responsible for maintaining the security of your account credentials and Azure DevOps access tokens. You must notify us immediately via our contact form if you suspect unauthorized access to your account.
You are responsible for all activity that occurs under your account.
4. Subscriptions and payment
- Billing: subscriptions are billed in advance on a monthly or annual basis depending on your chosen plan. All prices are in USD and exclude applicable taxes.
- Plan changes: when you upgrade or downgrade your subscription, the change takes effect immediately and the difference is invoiced immediately (prorated).
- Payment processing: payments are processed by Polar.sh. By subscribing, you also agree to Polar.sh's terms of service.
- Failed payments: if a payment fails, we will notify you and may suspend access to the service until the payment is resolved.
5. Usage limits and overage
- Each plan includes a specified number of agent hours per billing period.
- When your included hours are exhausted, any currently running agent job will be completed, but no new agent runs can be started until the next billing cycle.
- Overage (opt-in): you may enable overage billing in your dashboard settings. When enabled, agent runs will continue beyond your included hours at the overage rate specified in your plan. Overage charges are invoiced at the end of the billing period.
- Concurrent run limits are enforced as specified in your plan.
6. Cancellation and refunds
- Cancellation: you may cancel your subscription at any time from your dashboard or by contacting us. Cancellation takes effect at the end of the current billing period — you retain access until then.
- Refunds: subscription fees are generally non-refundable. However, if you cancel within 14 days of your initial subscription and have not used more than 2 agent hours, we will issue a full refund upon request.
- Self-hosted licenses: annual license fees are non-refundable after the license key has been issued.
- EU consumers: if you are a consumer in the European Union, you have a 14-day statutory right of withdrawal from the date of purchase. To exercise this right, reach out via our contact form.
7. Acceptable use
You agree not to use Azent to:
- Violate any applicable law or regulation.
- Generate malicious code, malware, or code intended to exploit vulnerabilities in third-party systems.
- Attempt to circumvent usage limits, rate limits, or security controls.
- Use the service to reverse-engineer, extract, or replicate the Azent platform or its underlying models.
- Share account credentials or access tokens with unauthorized third parties.
- Transmit content that infringes intellectual property rights of others.
- Interfere with or disrupt the service or its infrastructure.
We reserve the right to suspend or terminate accounts that violate this acceptable use policy, with or without prior notice depending on the severity of the violation.
8. Intellectual property
- Your code: you retain all ownership rights to the code in your repositories. Azent does not claim any intellectual property rights over code it generates on your behalf — all generated code is owned by you.
- Our service: the Azent platform, including its software, design, and documentation, is owned by us and protected by applicable intellectual property laws.
9. Data and privacy
Our handling of your personal data is governed by our Privacy Policy. By using Azent, you acknowledge that source code and Azure DevOps content is transmitted to third-party AI providers (OpenAI and Anthropic) for processing, as described in the Privacy Policy.
10. Availability and support
- We aim to maintain high availability but do not guarantee uninterrupted access. The service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.
- Support is provided via our contact form. Response times depend on your plan tier.
- Enterprise customers may negotiate a separate Service Level Agreement (SLA) with guaranteed uptime and response times.
11. Limitation of liability
To the maximum extent permitted by applicable law:
- Azent is provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- AI-generated code is provided as a suggestion. You are responsible for reviewing, testing, and validating all code before merging it into your codebase or deploying it to production.
- Our total aggregate liability for any claims arising from or related to the service is limited to the amount you paid us in the 12 months preceding the claim.
12. Termination
We may suspend or terminate your access to the service if you breach these Terms, fail to pay, or engage in prohibited use. Upon termination, your right to use the service ceases immediately. We will make your data available for export for 30 days after termination, after which it will be deleted.
13. Changes to these Terms
We may modify these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
14. Governing law and jurisdiction
These Terms are governed by applicable law. Any disputes arising from or relating to these Terms or the service shall be resolved in accordance with the applicable jurisdiction.
